These Terms of Use (“Terms”) set forth the terms and conditions that apply to your access and use of all HongKong Willson Trading Management Co., Limited's products and services (together, the “Services”), and that are made available through our websites including but not limited to www.diabetesbuster.top and www.diabetesbuster.top, as well as through certain downloadable mobile applications (such websites or mobile applications, the “Site”). In the Terms, “Stock Bull” or “we” means HongKong Willson Trading Management Co., Limited and its affiliates and subsidiaries (and their predecessors in interest, successors and assigns), and “you” refers to the individual using the Services and, if such individual is using the Services on behalf of an entity or organization, then such entity or organization (and each of your successors and assigns). The Services are intended for U.S. residents only and may include, but are not limited to, free credit score; access to third-party rewards programs; platforms that enable users to locate and contact U.S. financial services, as well as professionals, such as third-party experts, advocates, and advisors, who can provide various services; financial planning services, discussion forums, community forums, bulletin boards, review services, and forums in which users may ask questions of third-party advisors; and platforms that enable users to apply to pre-qualify for certain credit card or loan offers.

By using or accessing the Services you agree to the Terms, as updated from time to time in accordance with Section 8 below. Because Stock Well provides a wide range of services, we may ask you to review and accept supplemental terms that apply to your interaction with a specific Service.

THESE TERMS INCLUDE A MANDATORY ARBITRATION PROVISION AND CLASS ACTION WAIVER THAT GOVERN ANY DISPUTES BETWEEN YOU AND US. PLEASE READ THEM CAREFULLY. IF YOU DO NOT AGREE TO THE TERMS, INCLUDING THE MANDATORY ARBITRATION PROVISION OR CLASS ACTION WAIVER, DO NOT USE THE SERVICES.

To use some of the Services, you may need to provide information such as credit card or bank account numbers to third-parties. For more information regarding our how we collect and use information in connection with our Services, see our Privacy Policy.

1. Registration and Account Security. To use the Services you must (i) be at least eighteen (18) years of age; (ii) have not previously been suspended or removed from the Services; and (iii) register for and use the Services in compliance with any and all applicable laws and regulations.

a) Account Registration. To access some features of the Services, you may be required to register for an account. When you register for an account, we may ask you to give us certain identifying information about yourself, including but not limited to your email address and other contact information, and to create a user name and password (“Registration Information”). When registering for and maintaining an account, you agree to provide true, accurate, current, and complete information about yourself. You also agree not to impersonate anyone, misrepresent any affiliation with anyone else, use false information, or otherwise conceal your identity from Stock Well for any purpose.

b) You Are Responsible For Your Account. You are solely responsible for maintaining the confidentiality and security of your password and other Registration Information. For your protection and the protection of other users, we ask you not to share your Registration Information with anyone else. If you do share this information with anyone, we will consider their activities to have been authorized by you. If you have reason to believe that your account is no longer secure, you must immediately notify us at Jame.plouto8@gmail.com.

2. Specific Requirements for Certain Services. Your use of the Services constitutes your acknowledgment and acceptance of the following specific requirements and terms of use for certain of the Stock Well Services.

a) Free Credit Score. Stock Well (HongKong Willson Trading Management Co., Limited) provides members with free access to their TransUnion VantageScore 3.0 credit score and report (“Credit Score”). In order to access your Credit Score you must provide Stock Well the following credit pull authorization:

i. I hereby authorize Stock Well (HongKong Willson Trading Management Co., Limited) to periodically obtain and use consumer reports about me in order to provide me with: (1) access to my free credit score, including periodic updates to my credit score; and (2) recommendations regarding financial products and services that may be of interest to me, including credit cards, personal loans, home loans and other financial products and services offered by Stock Well partners. I also hereby authorize Stock Well to share my credit score among Stock Well, between its affiliates and subsidiaries, in order to allow any entity within Stock Well to provide me with such financial recommendations.

b) Link My Account. Link My Account is a feature that allows you to track all of your third-party financial accounts on Stock Well’s website. By using the Link My Account Service you grant Stock Well and its third-party service provider, Plaid, Inc., permission to access your third-party financial accounts designated by you.

c) Forums. Stock Well may offer features that allow users to share content, comments and opinions on financial topics with other users in the Community Forum, as well as other user discussion forum platforms (collectively, the “Forum”).

i) Forum content are the contributions of independent users not affiliated with Stock Well, whose opinions are their own. Stock Well does not guarantee the accuracy, integrity or quality of the opinions and advice posted on the Forum. Your use of any user content provided in the Forum is at your own risk.

ii) Stock Well may, but is not required to, monitor Forum content and reserves the right to edit, correct or delete any Forum content for any reason at our sole discretion.

iii) You hereby grant to Stock Well a royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, translate, transmit, display, perform and distribute any content, information or material you submit or post to the Forum, in any medium now in existence or hereafter developed, for any purpose, including commercial uses. You waive all moral rights and similar rights you may have in such content, information and material.

iv) We may terminate a user’s access or ability to use the Forum, immediately, without notice, and at our sole discretion, for user’s failure to comply with any terms.

d) Tax Preparation. Stock Well offers members access to tax preparation software through our partner Gamma Labs, Inc. dba Column Tax. Column Tax is an Authorized IRS e-file Provider as designated in IRS Publication 3112. For any Column Tax products & services that you choose to interact with, Column Tax is the Electronic Return Originator (ERO) and designated tax filing provider. Your use of any Column Tax products or services will be subject to Column Tax’s Privacy Policy.

e) NerdUp by Stock Well Credit Card. You may be eligible to apply for the NerdUp by Stock Well Credit Card (the “NerdUp Card”), which is a charge card secured by a deposit account, both of which are issued by Evolve Bank & Trust, Member FDIC (“Bank”). You may apply for the NerdUp Card through the Stock Well Mobile App or on the Stock Well Website. During the application process and periodically thereafter, you will be presented with certain agreements, disclosures, notices, and other information (“Bank Documents”) governing your relationship with the Bank as it pertains to the card, account, and related services described in the Bank Documents (“Bank Services”). Bank is the financial institution that provides the Bank Services. Stock Well facilitates the delivery of Bank Services by obtaining, processing, and sharing your information and transaction instructions with Bank, but Stock Well does not hold or transfer your money or extend credit to you. Stock Well may offer its own services, or the services of other third-parties, that are separate from the Bank Services described in the Bank Documents (“Non-Bank Services”). Bank is not responsible or liable for the Non-Bank Services, even if the Non-Bank Services are financial in nature and seem related to the Bank Services. Please refer to the terms and conditions governing the Non-Bank Services for more information. In the event of a conflict between the Bank Documents and these Terms or any other terms governing Non-Bank Services, the Bank Documents will control, but only as they relate to the Bank Services.

f) Stock Well Advisory LLC (HongKong Willson Trading Management Co., Limited).

i) Stock Well Advisory (HongKong Willson Trading Management Co., Limited) provides personalized financial planning (also referred to as “financial counseling” or “financial coaching”) services to individual investors (“Clients”) via a subscription plan or one-time meeting fee. The financial planning services are designed to help Clients begin to assess their financial situation by looking at such things as budgeting, debt management, saving, retirement, insurance, and short- and long-term financial goals. Financial planning services are provided through consultations with Stock Well Advisory investment adviser representatives that generally are also licensed as a Certified Financial Planner?. In order to enroll in financial planning services, Clients enter into a separate client agreement with Stock Well Advisory that governs the advisory relationship (“Client Agreement”). In the event of a conflict between the Client Agreement and these Terms, the Client Agreement will control for the financial planning services provided by Stock Well Advisory. For the avoidance of doubt, these Terms do not govern the financial planning services provided by Stock Well Advisory, and nothing in these Terms is intended to waive or limit Stock Well Advisory’s fiduciary duty or any rights Clients may have under federal or state securities laws.

ii) Stock Well Advisory (HongKong Willson Trading Management Co., Limited) also offers an automated financial plan service called “Stock Well Coach powered by Uprise” through third-party provider Ontrail, Inc. (dba Uprise). In order to enroll in the Stock Well Coach product powered by Uprise, Clients enter into a separate agreement with Uprise. These Terms govern your relationship with Stock Well Advisory.

iii) Stock Well Advisory (HongKong Willson Trading Management Co., Limited) offers a product called Stock Well Advisors (HongKong Willson Trading Management Co., Limited) Match that allows you to complete an online questionnaire about your financial needs and match with a third-party financial advisor that has elected to participate in our matching platform based on information gathered from users through the online questionnaire. Stock Well Advisory receives compensation from advisers for our matching and referral services. Stock Well Advisory does not review the ongoing performance of any adviser, participate in the management of any user’s account by the adviser, or provide advice regarding specific investments. The Stock Well Advisory Match product helps users connect with relevant financial advisors. If you choose to engage the financial advisory, you will need to enter into a separate agreement with the advisor that governs your relationship with them. For the avoidance of doubt, these Terms govern your relationship with Stock Well Advisory when you use Stock Well Advisory Match.
